Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Resify ("Resify", "we", "us", or "our") governing your access to and use of getresify.com, the Resify platform, and any related services (together, the "Services"). By creating an account, accessing, or using the Services in any way you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you do not agree, you must not use the Services.

If you use Resify on behalf of a company or other entity, you represent and warrant that you have full authority to bind that entity to these Terms and that "you" refers to both you and that entity.

Resify is a self-service software tool that lets accommodation operators build and publish a direct booking website. Resify is strictly a technology provider. We are not a travel agent, tour operator, property manager, merchant of record, escrow agent, marketplace, broker, or insurer, and we do not own, operate, control, endorse, or inspect any property listed through the Services.

Every booking transaction is a direct contract between you and your guest. Resify is not a party to that contract and bears no liability for its performance, cancellation, dispute, or outcome. The Services are provided to you as software tooling only.

You must be at least 18 years old and legally permitted to operate accommodation in every jurisdiction where your property is located and marketed. You are solely responsible for keeping your account credentials secure and for any and all activity that occurs under your account, whether or not authorized by you. You must provide accurate, current, and complete information at sign-up and keep it current. We may refuse, suspend, or terminate any account at our sole discretion and without notice.

Access to the Services is offered on a paid subscription basis. Current pricing, plan features, and trial terms are displayed on getresify.com at the time of purchase and may be changed by Resify at any time, effective on your next billing cycle. Subscriptions renew automatically for successive periods at the then-current rate unless you cancel before the renewal date.

All fees are charged in advance, are non-refundable, and are not pro-rated for unused time, cancellations, downgrades, suspensions, or account terminations. You authorize Resify and its payment processor to charge your payment method on each renewal. If a payment fails or is reversed, we may immediately suspend, downgrade, or terminate your account and/or take your booking site offline without liability. You remain responsible for any unpaid amounts, chargebacks, and related recovery costs.

Taxes, currency conversion fees, and payment processor fees are your responsibility and will be added to or deducted from the amounts you pay.

Guest payments made through your Resify site are processed by third-party payment providers (including Stripe via Stripe Connect). Money flows directly from the guest to your connected payment account. Resify does not hold, touch, or disburse guest funds, is not the merchant of record, and has no visibility into or control over individual transactions, payouts, chargebacks, or disputes.

You are solely responsible for (a) complying with the terms, conditions, and verification requirements of any payment provider you use, (b) configuring your own payout schedule, (c) accurately reporting and remitting all applicable taxes, levies, and fees, and (d) handling all refunds, chargebacks, fraud losses, and disputes with guests. Resify has no obligation to mediate, refund, or reimburse any amount in connection with a booking.

You are solely responsible for everything that happens on and through your Resify site. Without limiting the foregoing, you agree to:

• Publish only accurate, non-misleading information about your property, pricing, availability, house rules, and cancellation policy, and keep it current at all times.
• Honor every booking confirmed through the Services and bear all costs of any failure to do so, including guest compensation.
• Obtain and maintain all licenses, permits, registrations, insurance, and tax registrations required to lawfully operate your accommodation, and comply with all laws and regulations that apply to you, including short-term rental, consumer protection, accessibility, safety, tax, tourism, and data protection laws.
• Act as the sole data controller for guest personal data collected through your Resify site and satisfy every obligation that comes with that role, including responding to guest requests and providing your own privacy notice and lawful basis.
• Handle all guest communication, complaints, reviews, refunds, and disputes at your own cost and expense.

You retain ownership of the content you upload, import, or otherwise make available through the Services — including photos, text, logos, pricing, branding, and property information (collectively, "Your Content"). By submitting Your Content to the Services, you grant Resify a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, and transferable license to host, store, cache, copy, reproduce, modify, adapt, translate, create derivative works from, publicly display, publicly perform, distribute, and otherwise use Your Content in any media, for any purpose related to operating, providing, improving, promoting, and marketing the Services, and for Resify's own marketing, advertising, case studies, showcases, and portfolio.

You represent and warrant that you own or have secured all rights, consents, permissions, and licenses necessary to submit Your Content and to grant the license above, and that Your Content does not and will not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, or other rights, or any applicable law. You are solely responsible for Your Content and for any consequences of publishing it.

The Services interoperate with or rely on third-party products and services, including but not limited to Airbnb and Booking.com (as public content sources), Stripe (payments), Resend (email), and iCal-compatible calendar providers. Your use of those third-party services is governed entirely by their own terms. Resify does not control and is not responsible for the availability, accuracy, quality, terms, pricing, or conduct of any third party, and we may add, change, or discontinue any integration at any time without notice and without liability.

You agree that you will not:

• Use the Services to list any property you do not have full authority to rent, to accept bookings you cannot honor, or to misrepresent a property or its terms.
• Publish or transmit content that is illegal, fraudulent, defamatory, obscene, harassing, discriminatory, deceptive, fabricated, or infringing (including fake reviews).
• Reverse engineer, decompile, disassemble, probe, scan, scrape, crawl, benchmark, bypass rate limits, or otherwise interfere with the Services, their security features, or any underlying software.
• Use the Services to send spam, phishing, unsolicited marketing, or any communications prohibited by law, or to host or operate any service unrelated to your own accommodation business.
• Resell, sublicense, rent, lease, or otherwise make the Services available to any third party, or use the Services to build or support a competing product.

We may investigate and respond to any actual or suspected violation at our sole discretion, including by removing content, suspending or terminating accounts without refund, and cooperating with law enforcement, all without notice and without liability to you.

Resify, getresify.com, the Resify name and logo, the platform and all of its software, templates, designs, features, underlying technology, and all related intellectual property are and remain the exclusive property of Resify and its licensors. Nothing in these Terms transfers any ownership to you. Subject to your ongoing compliance with these Terms and timely payment of all fees, Resify grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during your active subscription, solely for your internal business purposes.

The Services are provided on an "as available" basis and may be unavailable, interrupted, delayed, degraded, or limited at any time for any reason, including maintenance, updates, upgrades, outages, third-party failures, and events beyond our control. Resify makes no commitment to any specific uptime, response time, support channel, or service level unless expressly agreed in writing, and may modify, add, remove, or discontinue any feature of the Services at any time at its sole discretion.

If you send us feedback, suggestions, or ideas about the Services, you grant Resify a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use, exploit, and commercialize them without restriction, attribution, or compensation to you.

You may cancel your subscription at any time from your dashboard; your cancellation takes effect at the end of the current billing period and does not entitle you to any refund. Resify may suspend, limit, or terminate your account or any part of the Services at any time, with or without cause and with or without notice, including for breach of these Terms, non-payment, fraud, abuse, or risk to the platform, other users, or Resify.

Upon termination, your right to access the Services ends immediately and your booking site may be taken offline without notice. Resify has no obligation to retain, export, or return Your Content after termination, and you are solely responsible for exporting any data you wish to preserve before termination. Sections that by their nature should survive termination will survive, including those relating to fees, content license, disclaimers, limitation of liability, indemnification, and governing law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT, FEATURES, AND INTEGRATIONS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. RESIFY AND ITS SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, UNINTERRUPTED OR ERROR-FREE OPERATION, SECURITY, OR ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. RESIFY DOES NOT WARRANT THAT THE SERVICES WILL GENERATE BOOKINGS, REVENUE, OR ANY BUSINESS OUTCOME, OR THAT ANY DATA WILL BE PRESERVED, OR THAT ANY THIRD-PARTY INTEGRATION WILL CONTINUE TO FUNCTION. YOU USE THE SERVICES AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RESIFY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BOOKINGS, GOODWILL, REPUTATION, DATA, OR BUSINESS OPPORTUNITY, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF RESIFY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

RESIFY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE LESSER OF (A) THE FEES YOU ACTUALLY PAID TO RESIFY IN THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED EURO (€100). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND RESIFY.

You agree to defend, indemnify, and hold harmless Resify, its affiliates, and their respective officers, directors, employees, agents, and suppliers from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, fines, penalties, costs, and expenses (including reasonable legal fees and expert costs) arising out of or related to: (a) Your Content; (b) your use or misuse of the Services; (c) any booking, guest interaction, refund, chargeback, complaint, or dispute relating to your property; (d) your violation of these Terms or of any applicable law, regulation, or third-party right; or (e) your acts or omissions as the data controller of guest personal data. Resify reserves the right to assume exclusive defense and control of any matter subject to indemnification at your expense, in which case you agree to cooperate fully.

These Terms and any dispute or claim arising out of or in connection with them or their subject matter are governed by and construed in accordance with the laws of the jurisdiction in which Resify is established, without regard to its conflict of laws principles. You agree that the courts of that jurisdiction have exclusive jurisdiction to settle any dispute, and you waive any objection to venue or forum non conveniens. Any claim must be brought within one (1) year after it arose, or it is permanently barred.

Resify may modify these Terms at any time at its sole discretion. Changes take effect as soon as the updated Terms are posted on getresify.com. It is your responsibility to review these Terms periodically. Your continued access to or use of the Services after any change constitutes your acceptance of the updated Terms. If you do not agree with any update, your only remedy is to stop using the Services.

These Terms, together with the Privacy Policy and any order form or plan you accept, constitute the entire agreement between you and Resify regarding the Services and supersede all prior or contemporaneous agreements. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will remain in full force. No waiver of any provision is a continuing waiver. You may not assign or transfer these Terms without Resify's prior written consent; Resify may assign or transfer these Terms at any time without restriction. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.
